Terms and Conditions of Proposal Submission

1. I submit the attached Proposal for the consideration of Touchdown Productions Ltd (“Touchdown”).
   
2. I warrant and represent that:

   a.	I am the creator or co-creator of the Proposal and am authorised to enter into this Agreement.
   b.	Either:	i.	The Proposal in an original work and is not adapted from or based on any other work;
   	Or:	ii.	The Proposal is adapted from or based on another work, which is clearly identified in the Proposal, and I have a licence permitting me to use that work in this way, or I have indicated that a licence would need to be obtained.
   c.	All information I have submitted is true and correct.

   
   
3. I understand that Touchdown may discuss the Proposal with its employees or representatives of television broadcasters as a part of evaluating its suitability.
   
4. I acknowledge that Touchdown may already be exploring similar proposals and/or ideas which resemble this Proposal, whether developed internally or received from another source. I understand that I will not be entitled to any compensation if Touchdown uses any such similar material and that I will not have any rights in or to such present or future work.
   
5. I understand that submitting this Proposal does not establish or constitute a relationship between myself and Touchdown, nor imposes any obligation of confidentiality.
   
6. I retain the right to submit this Proposal or similar proposals elsewhere unless Touchdown expresses its intention to take the Proposal further. 
   
7. I accept that Touchdown is not obliged to return this Proposal or any other materials submitted with it.
   
8. I will indemnify Touchdown against all claims, demands, expenses, losses, liabilities or legal costs that may be made against or incurred by Touchdown at any time as a consequence of any breach or alleged breach of any warranties or representations made by me in these Terms and Conditions or in connection with this Proposal.
